Sequoia LISST‑Logger Referral Program
Terms and Conditions
Program End Date: March 31, 2026 (see §2)
Legal Entity: Sequoia Scientific, Inc. (“Sequoia”)
Important: This document governs Sequoia’s LISST‑Logger referral reward program (the “Program”). Participation constitutes acceptance of these Terms. This Program is void where prohibited by law.
§1) Definitions
Referrer: An eligible individual who is named on an order as the person who made the referral.
Referred Order: A valid purchase order or direct order for one or more LISST‑Logger units placed with Sequoia or an authorized distributor.
Acceptance: Two weeks as per §4 in Sequoia’s Terms of Sale;

Award: USD $100 per eligible LISST‑Logger unit delivered and fully paid, subject to these Terms.
Public‑Sector: Includes government agencies, public universities, national laboratories, and other publicly funded entities.
§2) Eligibility Window (Time Zone)
Sequoia must receive the Referred Order by 11:59 pm Pacific Time (PT) on March 31, 2026 (equivalently 06:59 UTC on April 1, 2026). Orders received after this time are not eligible.
§3) Eligible Orders
Only orders for LISST‑Logger units qualify.
An order qualifies only if it clearly lists the Referrer per §5.
§4) Who Is Not Eligible
Employees, officers, directors, and contractors of Sequoia, its affiliates, and of Sequoia distributors/resellers, and their household members.
Any person who has a direct role in specifying, evaluating, recommending, or approving the purchase of the LISST‑Logger for the purchasing entity.
Individuals under 18 (or under the age of majority in their jurisdiction).
Persons located in embargoed or sanctioned jurisdictions or otherwise restricted by export controls or sanctions screening.
Self‑referrals and persons affiliated with the purchasing entity (e.g., employee, officer, owner, or contractor of the buyer).
Public‑Sector & Institutional Ethics: Referrers must comply with their employer’s and funding body’s ethics and conflict‑of‑interest rules. If a Referrer cannot accept a personal payment, see Appendix B (Charitable Donation Alternative).
§5) How to Claim (Attribution Rules)
The Referred Order must list exactly one Referrer’s full name and email address at the time the order is submitted.
If multiple names are listed or names are added after submission, Sequoia may decline the Award unless the customer designates the Referrer in writing before shipment.
Sequoia may request reasonable evidence that the Referrer made the introduction or materially facilitated the referral.
§6) When You Get Paid
Sequoia will pay USD $100 per LISST‑Logger unit delivered and fully paid once all of the following are true:
The product has been delivered to the customer,
The customer has accepted the product (see §1), and
Sequoia has received full payment for the unit(s).
Returns & Non‑Payment: If a unit is returned for a refund or remains unpaid/partially paid, no Award is due for that unit, or Sequoia may recover any Award previously paid for that unit.
§7) Payment Method & Fees
Payment Methods: PayPal or international wire transfer.
Fees: Sequoia covers PayPal fees and sender‑side wire fees. Any receiving bank fees charged to the Referrer are deducted from the Award.
If receiving fees would exceed the Award or lawful payment alternatives are unavailable, Sequoia may offer a reasonable alternative method or may decline payment.
Payments are made in USD. Foreign exchange costs, if any, are borne by the recipient.
§8) Program Integrity & Abuse Prevention
No self‑referrals.
Sequoia may decline or withhold payment in cases of suspected abuse, conflict of interest, or non‑compliance.
§9) Taxes, Sanctions, and Compliance
Taxes: Awards are taxable income to recipients. Sequoia may require W‑9/W‑8 forms and may issue tax forms where required (e.g., 1099‑MISC in the United States). Recipients are responsible for their personal tax obligations.
Sanctions/KYC: Payments are subject to standard sanctions screening and know‑your‑customer checks; Sequoia will not pay where prohibited by law.
International Constraints: See Appendix A for country‑specific considerations.
§10) Privacy
Sequoia processes personal data solely to administer this Program—including verification, payment processing, sanctions screening, and tax compliance—in accordance with GDPR/UK GDPR principles.
§11) General Terms
Modification/Termination: Sequoia may modify, suspend, or terminate the Program prospectively at any time. Changes do not affect already‑earned Awards.
No Assignment: Referrers may not assign or transfer their rights under the Program.
Governing Law & Venue: These Terms are governed by the laws of the State of Washington, USA, without regard to conflict‑of‑laws principles. Exclusive venue lies in King County, Washington courts.
Severability: If any provision is found invalid, the remaining provisions remain in effect.
Entire Agreement: These Terms constitute the entire agreement for the Program and supersede prior communications regarding the subject matter.
Headings: Headings are for convenience only and do not affect interpretation.

Appendix A — Country‑Specific Constraints for International Referrers
The following guidance applies to non‑US Referrers. It does not expand eligibility; it explains common local rules that may affect your ability to receive an Award.
A.1. Global Requirements
Age & Capacity: You must be at least the age of majority in your jurisdiction.
Ethics/COI: Confirm that accepting an Award does not violate your employer’s or funding body’s ethics/conflict‑of‑interest rules—especially in universities, national labs, and public agencies.
Taxes: Referral Awards are often taxable; recipients are responsible for local income tax reporting and payment.
Payment Availability: PayPal and wire transfers may not be available everywhere or may incur high receiving fees. Where lawful payment is not feasible, Sequoia may offer the charitable donation alternative (Appendix B).
Sanctions/Export: Sequoia cannot pay individuals in embargoed or sanctioned jurisdictions and will conduct standard sanctions screening.
A.2. Europe (EU + UK)
Public‑Sector/Universities: Many institutions prohibit or restrict personal incentives, including referral fees; consult your COI policy.
Data Protection: Personal data is processed per GDPR/UK GDPR only for administering the Program (verification, payment, sanctions, tax).
Taxes: Payments typically fall under miscellaneous income and may require self‑assessment.
A.3. Canada
Public Institutions: Federal/provincial research institutions commonly restrict personal benefits; the charitable donation option may be required.
Taxes: Generally taxable as personal income; recipients handle reporting.
A.4. Australia & New Zealand
Universities/Government: Referral fees may be treated as gifts or benefits requiring disclosure or prohibition by institutional policy.
Banking Fees: Incoming international wire fees can be significant and reduce the Award.
A.5. East Asia (Japan, South Korea, Taiwan)
Institutional Restrictions: National institutes and public entities often bar personal payments; consider the charitable donation alternative.
Payment Methods: PayPal availability varies; banks may require additional documentation.
A.6. China
Cross‑Border Transfers: Currency controls and bank documentation requirements may apply; PayPal availability varies.
Public‑Sector: National research institutes generally prohibit personal referral fees; donation alternative recommended.
A.7. Latin America
Receiving Fees: International wire fees and intermediary bank charges can be high.
Taxes: Typically taxable personal income; consult local rules.
Public‑Sector: Many agencies restrict personal incentives.
A.8. Africa & Middle East
Payment Availability: PayPal is not supported in some countries; wires may be the only option.
Sanctions: Payments cannot be processed where U.S. sanctions prohibit transfers.
Public‑Sector: Gift/benefit restrictions are common.
Appendix B — Charitable Donation Alternative (Public‑Sector Referrers)
For public‑sector researchers, government employees, and university staff who cannot accept personal payment:
B.1. Eligibility to Elect Donation
You may elect a donation if your employer/funding body prohibits acceptance of referral payments, or local law/procurement policies restrict personal benefits.
B.2. How It Works
Instead of a personal payment, Sequoia will donate USD $100 per eligible LISST‑Logger unit to a recognized non‑profit charitable organization either:
(a) selected from Sequoia’s list of qualified organizations, or
(b) proposed by the Referrer and approved by Sequoia.
The donation may be made in your name where permissible.
Donation timing follows §6 (delivery, acceptance, payment in full).
B.3. Constraints
Donations can only be made to organizations legally eligible to receive funds from a U.S. company and that pass sanctions screening.
Donations cannot be made to political organizations, government bodies, or organizations that do not meet Sequoia’s due‑diligence standards.
Donations are not tax‑deductible to the Referrer; any tax treatment belongs to Sequoia.
